Intented offer confirmed

Reference is made to the press release issued by Hagemeyer on 12 December 2007 with respect to the Ceteco court judgement. After discussions with Hagemeyer management on the Ceteco case, Rexel, inagreement with Sonepar, confirms the intended recommended offer of €4.85 per
share for Hagemeyer as announced on 23 November.
