The Management Board is vested with the broadest power to act in the name of the company, within the limits of its corporate purpose, and subject to the powers entrusted to the Supervisory Board and the general shareholders' meeting by the law and the by-laws.

Biographies
Jean-Charles Pauze
Chairman of the Management Board
Jean-Charles Pauze began his career with Total in 1971. In 1974, he joined the Alfa Laval group where he held several positions. He was appointed CEO of that company in France in 1981 and CEO of its subsidiary Brand & Luebbe in Germany in 1984. He then moved to the Strafor Facom group as Chairman and CEO of Clestra-Hauserman in 1986 and Chairman and CEO of Steelcase Strafor in 1991. In 1998, Mr. Pauze was appointed Chairman of the Management Board of Guilbert (PPR Group). In 2002, he joined Rexel as CEO and became President of Rexel’s Management Board in February 2007. Born in 1947, Mr. Pauze graduated from IDN-EC Lille with an engineering degree. He holds a Masters of Science in Economics and a Master of Business Administration from INSEAD.
Michel Favre
Management Board member, Group Senior Vice President, Finance, Control and Legal Affairs
Michel Favre began his career in 1983 with Banques Populaires as an inspector. In 1988, after 2 years spent in consulting, he joined the Valeo Group, successively heading Financial Control of several business units, before being promoted to Vice President Finance of climate control and thermal systems divisions between 1991 and 1997. In 1997, he became General Manager of French climate control business unit and he was then promoted CEO of the lighting division in 1999. In 2001, he joined the Altadis Group as Chief Financial Officer. In 2006, Michel Favre became Chief Financial Officer of Casino Group. In March 2009, he was appointed Senior Vice President, Finance, Control and Legal Affairs of the Rexel Group, and he has been member of Management Board of Rexel S.A. since May 20, 2009. Born in 1958, Michel Favre, graduated from HEC.
Pascal Martin
Management Board member, Group Senior Vice President, Business Development and Corporate Operations
Pascal Martin started his career in 1981 with Renault France where he held several positions in the fields of production and technical services. In 1991, he joined Steelcase S.A. International to become simultaneously Chief of Group Operations (1992-2000) and Group Human Resources Director (1993-1999), then CEO of Steelcase Strafor France and President of Steelcase International (1999-2000). He was appointed CEO of Guilbert France in 2001 and Management Board Chairman of Guilbert Group (PPR Group) in 2002. He joined Rexel in 2003 as Senior Vice President, Business Development and Operations. Since February 2007, Pascal Martin has been a member of the Management Board of Rexel S.A. and Group Senior Vice President, Business Development and Corporate Operations of the Rexel Group. Born in 1957, Mr. Martin holds an engineering degree from ENSAM and is a graduate of ICG.
Jean-Dominique Perret
Management Board Member, Group Senior Vice President, Human Resources, Group Delegate Latin America
Jean-Dominique Perret began his career with Asea Brown Boveri in 1973. In 1975, he joined Schlumberger Oil Services, where he held operational positions in the Middle East, Asia, Africa and South America as Profit Centre Manager, Country or Regional Director and lastly, in January 1991, as Regional Director for Latin America. In 1993, he became Sales Engineering Director for Eastern Europe at Air Liquide. In 1994, he was promoted to Human Resources Director of various entities of the Air Liquide group. In 2001, Mr. Perret joined Rexel as Senior Vice President, Group Human Resources. Since February 2007, Mr. Perret has been a member of the Management Board of Rexel S.A.and Group Senior Vice President, Group Human Resources. Born in 1947, Mr. Perret holds an engineering degree from ESIM and is a graduate of the Institut de l'Administration des Entreprises (IAE).
